All intellectual property developed at VECtor
will be the property of The
University of Houston.
Walden
3-D, Inc. will copyright, service mark, and document new ideas.
Registered Experts and Geotechnical
Sponsors will sign an agreement with
Walden 3-D, Inc. relative to the ownership of any intellectual
property they invent or develop while working at
VECtor. Their authorship of ideas or inventions will be retained in
any filing for patent or other intellectual property protection. In
addition, at regular meetings with
The University of Houston
legal staff, Walden 3-D, Inc.
will transfer any copyrights of interest and disclose inventions or
possible inventions to The
University of Houston for submittal to: (1) patent the inventions;
or (2) provide for other processes of intellectual property rights
protection. This transfer will be at no cost to The University of Houston, but will only occur after The University of Houston provides a request to Walden 3-D, Inc. in writing.
Because the University of
Houston is funding the development of intellectual property, the
intellectual property developed at VECtor
belongs to the University of Houston. However, Walden 3-D, Inc. and/or any
Registered Expert and/or any
Geotechnical Sponsor developing a specific piece of Intellectual
Property, reserve the first right of refusal for commercialization of
the ideas or patents that derive from VECtor
and/or their specific work. The Lincom, Inc. contract with NASA
provides precedence for this. Specifically: (1) Walden 3-D, Inc.
is a "small business;" and (2) there must be a long-term motiviation to
induce Registered Experts
to open their minds and actively participate in
VECtor. The terms of commercialization will be negotiated in good
faith on a case-by-case basis between Walden
3-D, Inc. and The
University of Houston.
